Offers and counter offers are just that until accepted by the other party, it then becomes a binding contract between the two parties. If you are not sure of what you want to do with an offer, then DO NOT SIGN the offer. Most offers and counter offers have built in periods for which they are valid. Once the period has passed (for example 3 days) the offer is void.
